Acceptance of Terms

By accessing or using the platform, you agree to be bound by these Terms and any policies referenced by them. If you do not agree, do not use the platform.

Eligibility and Account Responsibility

You are responsible for maintaining the confidentiality of your credentials, for activity occurring under your account, and for ensuring that information you provide is accurate and current.

Platform as Technology Intermediary — Not a CTA or Investment Advisor

GoodInvestGroup Algo Lab OS is a software technology platform. It is not registered with, and does not act as, a Commodity Trading Advisor (CTA), investment advisor, commodity pool operator, futures commission merchant, introducing broker, or any other regulated financial intermediary under the Commodity Exchange Act, the Investment Advisers Act of 1940, or any other applicable law.

The platform provides tools for displaying trading activity, automating order routing between consenting parties, and facilitating strategy visibility. It does not manage your account, exercise discretion over your trades, or provide personalized investment advice. All trading decisions remain solely and entirely yours.

No Managed Account Relationship

Nothing in these Terms, in the platform's operation, or in any subscription you purchase creates a managed account relationship, advisory relationship, or fiduciary duty between you and GoodInvestGroup. You are not a client of GoodInvestGroup for purposes of any financial regulation. Your subscription purchases access to software tools and strategy data feeds, not discretionary management of your funds.

Educational and Platform Nature

The platform provides software tools, strategy visibility, market commentary, trading records, and copy-trading related workflows for informational, educational, and operational purposes. Nothing on the platform should be interpreted as personalized financial, legal, tax, brokerage, or investment advice.

Subscriptions, Billing, and Access

Certain features may require a paid subscription, free trial, or approved membership. By purchasing access, you authorize applicable charges according to the pricing and billing terms presented at checkout.

We may suspend, limit, or revoke access for failed payments, misuse, fraud concerns, abuse of trials, or behavior that threatens the integrity of the service.

Copy Trading — Your Independent Decision

By subscribing to any strategy on this platform — whether operated by GoodInvestGroup or a third-party provider — you acknowledge and agree that:

• You are making an independent decision to configure your brokerage account to receive and act on trade signals.
• GoodInvestGroup is not directing, recommending, or managing your trading activity.
• You have independently evaluated the strategy, the provider, the risk, and the suitability for your own financial situation.
• Results in your account may differ materially from results in any strategy's source account due to slippage, latency, broker differences, account size, margin availability, and other factors.
• Past strategy performance — whether live or simulated — does not predict or guarantee future results in your account.

Third-Party Strategy Providers

The platform may make available strategies operated by third-party providers who are independent of GoodInvestGroup. With respect to third-party strategies:

• GoodInvestGroup does not endorse, verify, audit, or guarantee the performance, accuracy, legality, or suitability of any third-party strategy.
• Each third-party provider, by listing a strategy on this platform, represents and warrants that they are in compliance with all applicable laws and regulations in their jurisdiction, including but not limited to any registration or exemption requirements under the Commodity Exchange Act (7 U.S.C. § 1 et seq.) and NFA rules.
• GoodInvestGroup is not liable for any losses, damages, regulatory violations, or claims arising from a third-party provider's strategy, conduct, or representations.
• Third-party providers are independent contractors. They are not employees, agents, partners, or joint venturers of GoodInvestGroup.
• GoodInvestGroup reserves the right to remove, pause, or restrict any third-party strategy at any time without prior notice.

Strategy Provider Obligations

If you list a strategy as a provider on this platform, you agree that:

• You are solely responsible for the legality of your strategy offering in all jurisdictions where your subscribers reside.
• You will not make false, misleading, or cherry-picked performance representations.
• You will disclose to subscribers whether your displayed track record is from a live account or a simulated/paper account.
• You have obtained or qualify for any required registration or exemption under applicable commodities, securities, or financial services law.
• You will not use the platform to engage in market manipulation, front-running, coordinated trading schemes, or any fraudulent activity.
• GoodInvestGroup may remove your strategy and terminate your account at any time for violation of these obligations, without refund of any fees paid.

Assumption of Risk

By using the platform and its copy-trading features, you explicitly acknowledge that:

• Futures trading involves a high degree of leverage and can result in losses exceeding your initial deposit.
• Automated or semi-automated order routing introduces technology risks including latency, missed fills, duplicate orders, and connectivity failures.
• You have read and understood the Risk Disclosure and agree to the risks described therein.
• You assume full and sole responsibility for all trading activity in your brokerage account, regardless of how that activity was initiated.

Indemnification

You agree to indemnify, defend, and hold harmless GoodInvestGroup, its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) your trading activity; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) if you are a strategy provider, any claim by a subscriber relating to your strategy, performance, or conduct.

Acceptable Use

• You may not misuse the platform, interfere with service operations, or attempt unauthorized access.
• You may not scrape, reverse engineer, resell, republish, or exploit the platform or its data beyond the rights expressly granted.
• You may not use the service in a way that violates applicable law, exchange rules, brokerage restrictions, or third-party rights.

Intellectual Property

The platform, its software, branding, design, content, trade presentation, and related materials remain the property of GoodInvestGroup or its licensors unless otherwise stated. Use of the service does not transfer ownership rights.

Third-Party Services

The platform may rely on or link to third-party services, including payment providers, hosting providers, broker connections, charting tools, email systems, and social/community platforms. We are not responsible for third-party systems, terms, outages, or policies.

No Warranty

The platform is provided on an as-is and as-available basis without warranties of any kind, express or implied. We do not guarantee uninterrupted access, error-free operation, profitability, execution quality, or fitness for a particular purpose.

Limitation of Liability

To the maximum extent permitted by law, GoodInvestGroup will not be liable for indirect, incidental, consequential, special, or punitive damages, or for losses related to trading decisions, missed opportunities, platform downtime, delayed data, broker execution, or third-party failures. In no event shall GoodInvestGroup's total liability to you for any cause of action exceed the amounts you have paid to GoodInvestGroup in the twelve months preceding the claim.

Termination

We may suspend or terminate access at our discretion where reasonably necessary for security, abuse prevention, legal compliance, payment issues, or platform integrity. You may stop using the platform at any time.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. The arbitration shall take place in Texas. Each party waives the right to a jury trial and to participate in any class action or class-wide arbitration.

Changes to Terms

We may update these Terms from time to time. Continued use of the platform after updated Terms are posted constitutes acceptance of those changes.
